Employment Due Diligence

The Employment Due Diligence clarifies whether the employment-related documents have been concluded duly and established in the company, and whether they are in compliance with the Estonian Employment Contract law entered into force on 1 July 2009. In the course of the Due Diligence process we will inform you of the deficiencies discovered as well as related risks. We will also give suggestions on how to improve the employment-related documentation and achieve better protection of employer’s interests.

Analysis of Agreements Concluded with Employees

  • Evaluating the compatibility of the company’s standard employment agreement and other agreements concluded with employees (e.g. confidentiality agreement, training agreement, etc.) with the law. We will also clarify whether they meet the actual needs of the company
  • Clarifying potential legal risks relating to conclusion of service agreements with natural persons (service providers)

Analysis of Employment Agreements Concluded with Key Personnel

  • Evaluating compatibility of employment agreements concluded with key employees with the law and the needs of the company

Rules and Policies of the Company

  • Clarifying whether all necessary policies regarding working environment have been adopted in the company

Representatives of Employees and the Employer

  • Checking whether the requirements on electing employer’s representatives as well as employees’ representatives have been duly met

Employer’s Obligation to Inform and Consult Employees

  • In case of medium and large companies, we will clarify whether the procedures of informing and consulting employees established by law are being followed and provide relevant instructions

Collective Employment Relationships

  • Analysing whether the terms of the collective agreement meet the requirements of the new Employment Contract Act
