Retail

Revenue in the retail sector in Estonia has shown steady growth both in luxury and commodities products due to general increase in purchasing power. However, in an economic recession many retailers and manufacturers are struggling with insolvency, cutbacks in sales figures, or are refinancing and operational structures to optimise costs and guarantee sustainable business models.

Clients consult our experts for strategic advice on corporate, taxation, real estate transactions, as well as competition and M&A matters. We advise on IP and brand protection issues and offer assistance in debt restructuring. The majority of our clients are domestic and Scandinavian companies and our aim is to provide legal services so as to best extract maximum value from the retailing business.

Some of our recent experience includes:

  • advising Alexela, owner of the largest number of petrol stations in Estonia, on the sale of its Lithuanian petrol station network to NASDAQ OMX Helsinki listed Neste Oil;
  • advising Swedish spirits producer V&S Vin & Sprit on daily registration and management of the company’s trademarks;
  • advising Maag Group on its acquisition of Rakvere Piim, the second largest dairy factory in Estonia, from UK based Alpamayo Ltd;
  • advising Norwegian real estate developer Svendsen Kinnisvara on the sale of one of the largest hypermarkets (Magistrali shopping centre) in Tallinn;
  • advising medical retailers on compliance programs in addition to organising training for their representatives on competition matters.
