The real estate and construction sector has been one of the most impressively developing fields in Estonia. The increase in new and renovation projects has not only influenced the residential sector but also boosted commercial and industry property assignments.

Our specialists advise corporate clients in this field on matters related to daily business management, corporate and project financing assignments, as well as on initiating detailed plans, compiling various types of agreements, carrying out tenders, advising on related M&A transactions, and  representing clients in disputes connected to real estate assignments.

Some of our recent assignments include:

  • advising the buy-out by Satnam Europe and its investment partners of certain shareholders in Capfield OÜ, a company owning a 70,000 sq.m. portfolio of six retail centres in Estonia. We also advised Capfield in refinancing its retail portfolio from Nordea Bank;
  • representing BPT Baltic Opportunity Fund, managed by BPT Asset Management, in its acquisition of the Lincona Office Complex in Tallinn comprising over 11,000 sq. m. of office and retail space;
  • representing Air Maintenance Estonia in connection with procurement, construction and lease of a technically complex aircraft maintenance building at Tallinn Airport;
  • advising the developer of Solaris shopping centre, the biggest free-time centre in Estonia with total space of 43,000 square metres, on drafting, concluding and performing leases, and other contracts for operating the centre;
  • advising listed company Trigon Property Development on preparing a secondary offering of the company’s shares to raise capital for financing of pending portfolio projects;
  • advising the real estate fund of leading investment bank GILD Bankers on restructuring the public closed-end fund EEREIF (Eastern Europe Real Estate Investment Fund) which invests in commercial projects;
  • advising real estate company of Norwegian origin Kawe Group in its purchase of modern logistics centre Smarten, which has more than 40,000 square metres of floor space;
  • advising Gildhall on an 8-storey commercial building development project (Marienthal Centre) in Tallinn of approx 20,000 square metres. Our assignment was to prepare all relevant construction and lease agreements and to advise on road and street tenders;
  • advising YIT Ehitus on all aspects of law associated with the company’s activity area.
